1. Agreement to Terms
By engaging Verticality Digital Solutions Inc. ("Verticality", "we", "us") for any services, you ("Client", "you") agree to be bound by these Terms & Conditions. These terms apply to all services provided unless a separate written agreement is in place, in which case the terms of that agreement shall prevail.
2. Services
Verticality provides digital marketing services including but not limited to SEO, paid advertising, website development, email marketing, and related consulting. The specific scope, deliverables, and timelines for each engagement are outlined in the applicable proposal or service agreement.
3. Payment Terms
Payment terms are specified in the applicable service agreement or invoice. Unless otherwise agreed, invoices are due within 15 days of issuance. Late payments may be subject to a fee of 1.5% per month on the outstanding balance.
4. Client Responsibilities
The Client agrees to provide timely access to necessary accounts, materials, and approvals required for the delivery of services. Delays caused by the Client may affect project timelines and deliverables.
5. Intellectual Property
Upon full payment, the Client receives ownership of custom deliverables created specifically for them. Verticality retains the right to use general methodologies, frameworks, and tools developed during the engagement. Verticality may reference the work in its portfolio unless the Client requests otherwise in writing.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives the termination of the service agreement.
7. Limitation of Liability
Verticality shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

9. Governing Law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts located in Toronto, Ontario.
10. Changes to Terms
Verticality reserves the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms.
